The legislation on the “Administrative Liability of Legal Entities for Criminal Offenses” (Legislative Decree no. 231 of June 8, 2001), which is the basis of the 231 Model adopted by MANN+HUMMEL Water & Fluid Solutions S.p.A., establishes that companies may be subject to monetary and/or prohibitory sanctions if certain crimes are committed or attempted – in Italy or abroad – in the interest or to the benefit of the entity. This applies both to individuals who hold representative, administrative, or managerial roles within the company (or its autonomous units), as well as to those who effectively manage or control it (the so-called top management), in addition to employees under their direction or supervision.
In compliance with these provisions, on March 30, 2020, the Company adopted its own Organization and Management Model pursuant to Legislative Decree 231/2001, thereby integrating the internal organizational system with the tools provided by the legislation. The Model includes several components: risk activity mapping, principles and rules of conduct, control systems, procedures and operational protocols, training and information activities, a disciplinary system, as well as the establishment of the Supervisory Body and related information flows. The primary goal is to prevent the commission of the offenses covered by the Decree.
Furthermore, in compliance with the requirements of Legislative Decree 231/2001 and in line with the Group’s Code of Business Ethics, the Company has adopted a Code of Ethics that reflects the fundamental values shared at all levels of the organization and aimed at preventing unlawful conduct, with particular focus on those behaviors referenced in the legislation.

La normativa sulla “Responsabilità amministrativa degli enti per reati” (D.Lgs. 8 giugno 2001, n. 231), da cui trae origine il Modello 231 adottato da MANN+HUMMEL Water & Fluid Solutions S.p.A., stabilisce che le società possano essere soggette a sanzioni pecuniarie e/o interdittive qualora vengano commessi o tentati determinati reati – in Italia o all’estero – nell’interesse o a vantaggio dell’ente. Ciò vale sia per i soggetti che ricoprono funzioni di rappresentanza, amministrazione o direzione della società (o di sue unità autonome), sia per coloro che ne esercitano di fatto la gestione e il controllo (i cosiddetti soggetti apicali), oltre che per i dipendenti sottoposti alla loro direzione o vigilanza.
Per conformarsi a tali disposizioni, il 30 marzo 2020 la Società ha adottato un proprio Modello di organizzazione e gestione ex D.Lgs. 231/2001, integrando così il sistema organizzativo interno con gli strumenti previsti dalla normativa. Il Modello comprende diversi elementi: mappatura delle attività a rischio, principi e regole di condotta, sistemi di controllo, procedure e protocolli operativi, attività di formazione e informazione, un sistema disciplinare, nonché l’istituzione dell’Organismo di Vigilanza e dei relativi flussi informativi. L’obiettivo principale è prevenire la commissione dei reati contemplati dal Decreto.
Inoltre, nel rispetto delle prescrizioni del D.Lgs. 231/2001 e in coerenza con il Code of Business Ethics del Gruppo MANN+HUMMEL, la Società si è dotata di un Codice Etico che esprime i valori fondamentali condivisi a tutti i livelli aziendali e orientati a prevenire comportamenti illeciti, con particolare attenzione a quelli richiamati dalla normativa.
Ai sensi dell’art. 6, comma 1, lett. b), del D.Lgs. 231/2001, MANN+HUMMEL Water & Fluid Solutions S.p.A. ha istituito e nominato il proprio Organismo di Vigilanza, dotato di poteri autonomi di iniziativa e controllo, incaricato di monitorare l’efficace attuazione e il rispetto del Modello e del Codice Etico.
